Terms of Service

1. Acceptance of Terms

By engaging the services of WebStackWorks, located at Calle del Licenciado Poza 10, 48013 Bilbao, Spain, you agree to be bound by these Terms of Service. These terms apply to all web development, consulting, and related services provided by WebStackWorks.

2. Scope of Services

WebStackWorks provides web development, SEO optimization, performance engineering, cross-browser compatibility testing, and related technical services. The specific scope, deliverables, timeline, and pricing for each project are defined in a separate project agreement or statement of work.

3. Payment Terms

Payments are due as specified in the project agreement. A 50% deposit is required before work commences, with the remaining balance due upon project completion. Late payments incur a 1.5% monthly interest charge. All prices are exclusive of applicable taxes.

4. Intellectual Property

Upon full payment, all custom code, designs, and deliverables created specifically for the client are transferred to the client's ownership. WebStackWorks retains the right to use general methodologies, frameworks, and non-proprietary tools developed during the engagement.

5. Project Timeline

Timelines are estimated in good faith and depend on timely client feedback and content delivery. Delays in client-provided materials may extend the project schedule proportionally. WebStackWorks will communicate any timeline changes promptly.

6. Warranty

WebStackWorks warrants that all deliverables will conform to the agreed specifications for a period of 30 days following project delivery. This warranty covers defects in workmanship and does not cover issues arising from third-party modifications, hosting environment changes, or client-initiated code edits.

7. Limitation of Liability

WebStackWorks' total liability shall not exceed the total fees paid for the specific project giving rise to the claim. We shall not be liable for indirect, incidental, or consequential damages including lost profits, data loss, or business interruption.

8. Termination

Either party may terminate a project agreement with 14 days written notice. Upon termination, the client is responsible for payment of all work completed up to the termination date. Prepaid fees for uncompleted work will be refunded proportionally.

9. Governing Law

These Terms of Service are governed by the laws of Spain. Any disputes shall be resolved through the courts of Bilbao, Biscay, Spain, unless otherwise agreed in writing.

Refund & Reimbursement Policy

1. Eligibility

WebStackWorks, located at Calle del Licenciado Poza 10, 48013 Bilbao, Spain, offers refunds under the conditions outlined in this policy. Refund requests must be submitted in writing to [email protected] within the specified timeframes.

2. Deposit Refunds

The initial 50% deposit is fully refundable if canceled before work has commenced. Once work has begun, the deposit is non-refundable as it covers project setup, resource allocation, and initial development milestones.

3. Milestone-Based Refunds

For projects with milestone-based payments, refunds are calculated based on uncompleted milestones. Completed milestones are non-refundable. If a project is terminated mid-milestone, a proportional refund may be issued based on the percentage of work remaining.

4. Defective Deliverables

If deliverables do not conform to the agreed specifications and WebStackWorks is unable to resolve the issue within a reasonable timeframe (up to 30 days), the client is entitled to a full refund for the non-conforming portion of the project.

5. Refund Processing

Approved refunds are processed within 14 business days using the original payment method. If the original method is unavailable, an alternative arrangement will be discussed. Refund confirmation will be sent via email.

6. Non-Refundable Items

The following are non-refundable: completed and approved milestones, third-party licenses or subscriptions purchased on the client's behalf, domain registration fees, hosting setup fees, and consulting hours already delivered.

7. Dispute Resolution

If a refund request is denied and the client disagrees, the dispute shall be resolved through mediation in Bilbao, Spain, before pursuing any legal remedies. Both parties agree to attempt good-faith resolution prior to escalation.
